VP, Legal Affairs

Position Summary:

Under the supervision of the General Counsel, this attorney will be responsible for the rule making process for BOX. These responsibilities include: preparing rule filings, memoranda, interpretations and recommendations for the BOX teams and committees where appropriate. This individual will also assist in a legal advisory capacity for strategic initiatives, evaluate competitive rule filings, SEC proposals, and regulatory issues as they relate to the business objectives of BOX. The VP of Legal Affairs will work with BOX's regulators to secure appropriate approvals from the Securities and Exchange Commission (SEC). This position may be located in either of our Boston, MA or Washington, D.C. offices.

Position Duties:

- Drafting new trading rules for BOX.

- Acting as a liaison to the SEC, Options Pricing Reporting Authority (OPRA), Options Clearing Corporation (OCC), and other Self Regulatory Organizations (SROs).

- Counseling BOX management on new products and services.

- Drafting BOX comment letters regarding filings by other U.S. options exchanges.

- Participating in preparing BOX systems specifications.

- Assisting BOX's regulators in responding to membership requests, including rule interpretations.

- Assisting the General Counsel in advising BOX management on regulatory matters.

Education and Experience:

The ideal candidate will possess a JD and 5+ years practical experience in a brokerage firm, SEC, FINRA, and/or law firm along with knowledge of the 1933 Securities Act, 1934 Securities Act, options market regulation, and working knowledge of order book mechanics.

Job Knowledge and Skills:

The candidate will possess strong written and verbal communication skilss, strong participant and customer service orientation, and the ability to work under pressure and to clearly translate trading rules as they apply to trading practices and unique market situations. In addition, the candidate will possess solid negotiation skills, presentation skills, and the ability to maintain confidentiality, diplomacy and tact. Knowledge of legal procedures and legal research is required.
